By placing an order or using the Vertex Digitizing website, you agree to these Terms of Service. Please read them carefully before submitting artwork or making a purchase.
1. About Vertex Digitizing
Vertex Digitizing ("we", "us", "our") provides embroidery digitizing, vector artwork conversion, custom patch manufacturing, and DTF printing services via our website at vertexdigitizing.com. These Terms govern your use of our website and services.
2. Eligibility
You must be at least 18 years of age or have the consent of a parent or legal guardian to use our services. By using our website or placing an order, you confirm that you meet this requirement.
3. Orders and Acceptance
- All orders are subject to acceptance by Vertex Digitizing. We reserve the right to refuse or cancel any order at our discretion.
- An order is confirmed once you receive a written confirmation from us (email or chat).
- Prices quoted are valid for 7 days from the date of quotation unless otherwise stated.
- Rush orders (24-hour turnaround) are subject to availability and may carry an additional fee.
4. Artwork and File Submissions
- You warrant that you own or have the legal right to reproduce any artwork, logos, or images you submit. You are solely responsible for ensuring your files do not infringe third-party intellectual property rights.
- We reserve the right to decline orders for artwork that is illegal, offensive, defamatory, or violates any copyright or trademark.
- Submitted files are used solely to fulfill your order. We do not share, resell, or redistribute your artwork without your consent.
- Original files submitted for digitizing or vector work are retained for 6 months after delivery for revision purposes, then permanently deleted.
5. Proofs and Approvals
- For digitizing orders, we provide a digital proof (DST/EMB file or stitch simulation) before production on request. Physical samples incur an additional cost.
- Custom patch orders include a digital proof for approval before manufacturing begins.
- Once you approve a proof, any subsequent changes may incur additional charges.
- We are not liable for errors in the final product that were present in an approved proof.
6. Payment
- Payment is due prior to delivery of finished files or dispatch of physical goods, unless a credit account has been arranged in writing.
- We accept major credit/debit cards and PayPal. Payments are processed securely by third-party processors; we do not store card data.
- Prices are quoted in USD unless otherwise stated. International customers are responsible for any bank conversion fees.
- Invoices unpaid after 30 days may incur a late fee of 1.5% per month.
7. Revisions and Refunds
- Digitizing: We offer unlimited revisions until you are satisfied with the digitized file, provided the revision request does not alter the original design brief.
- Vector artwork: Up to 3 rounds of minor revisions are included. Major redesigns may be quoted separately.
- Custom patches: Refunds or reprints are offered for manufacturing defects or significant deviation from the approved proof. Colour variations within industry tolerance (±10%) are not considered defects.
- DTF printing: Same policy as custom patches. Please inspect goods within 7 days of delivery and report any issues promptly.
- Refunds are not available for digital files once they have been downloaded or used.
8. Delivery and Shipping
- Digital files (digitizing, vector) are delivered via email or file-sharing link within the quoted turnaround time.
- Physical goods (patches, DTF prints) are shipped via tracked courier. Estimated delivery times are provided at checkout and are not guaranteed.
- We are not liable for delays caused by customs, carrier issues, or events outside our control.
- Risk of loss passes to you upon handover to the shipping carrier.
9. Intellectual Property
- Upon receipt of full payment, you own the digitized file or vector artwork created specifically for your order.
- Vertex Digitizing retains the right to display completed work in its portfolio unless you request otherwise in writing at the time of order.
- All content on vertexdigitizing.com (text, images, branding) remains the property of Vertex Digitizing and may not be reproduced without written permission.
10. Limitation of Liability
To the fullest extent permitted by law, Vertex Digitizing's total liability for any claim arising from our services is limited to the amount paid by you for the specific order giving rise to the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.
11. Prohibited Use
You agree not to use our website or services to:
- Submit artwork that infringes intellectual property rights.
- Produce content that is illegal, hateful, or promotes violence.
- Attempt to gain unauthorised access to our systems.
- Resell our services without prior written agreement.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which Vertex Digitizing is registered. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction. For international customers, we endeavour to resolve disputes amicably before legal action.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. Continued use of our services after an update constitutes your acceptance of the revised Terms.
